Dear Madam, Sir

The European Commission's Impact Assessment report accompanying the Listing Act package (7.12.2022, SWD(2022) 762 final) contained a figure 18 "EU Recovery prospectuses approved in 2021 in the EEA". According to Commission, the source for the figure was ESMA.

Under the right of access to documents in the EU treaties, as developed in Regulation 1049/2001 and the Decision on Access to documents (ESMA/2011/MB/69), I am requesting documents which contain the following information:

- A list of all EU Recovery prospectuses approved in the EEA since March 2021
- The number of EU Recovery prospectus approved per country, per year (2021, 2022 and 2023)
- Any ESMA documents analysing or evaluating the uptake of the EU Recovery prospectus

Sincerely
Peter Teffer

Dear Peter Teffer,

We are writing with reference to the request you submitted pursuant to
Regulation (EC) No 1049/2001 on 9 February 2024 and by which you requested
ESMA to provide you with access to the following:

“- A list of all EU Recovery prospectuses approved in the EEA since March
2021
- The number of EU Recovery prospectus approved per country, per year
(2021, 2022 and 2023)
- Any ESMA documents analysing or evaluating the uptake of the EU Recovery
prospectus”.

In response to your request, please find attached below the excel file
with information pertaining to the first two points of the request. Please
note that the relevant data can also be retrieved through the ESMA public
registers, namely [1]Prospectus Documents and [2]Prospectus Securities
using the keyword search tool and key words, e.g. “recovery” or using the
Prospectus IDs provided in the excel file mentioned above.

As regards the point of your request referring to documents “[…] analysing
or evaluating the uptake of the EU Recovery prospectus”, please note that
ESMA has made readily available relevant information in the following
documents:

• [3]The Final Report concerning the 2022 Prospectus Peer Review

• [4]The Annex to ESMA’s response to the EC targeted consultation on the
Listing Act

• [5]ESMA market report – EU Prospectuses 2023

• [6]ESMA statistical report – EU Prospectuses 2022

Additionally, we have identified an internal document which we are sharing
with you as a second attachment (below) to this email. Please note that,
this document constitutes the original file provided to the European
Commission for the impact assessment for the Listing Act and also covers
the topic of uptake of EU Recovery prospectuses. Only the tabs in blue
inside the excel file refer exclusively to the EU Recovery prospectuses,
while the rest of the analyses are provided for transparency purposes and
to put in context the relevant figures.

We trust that this response satisfies your request in full.

Kind regards,

Enrico Gagliardi
